Changes in corporate structure of Škoda Group, two standalone divisions were established: Bus and Components & Systems

Škoda Group is changing its corporate structure. Withing the Group standalone divisions will be established based on the products offered and services provided. The objective of the new divisional structure is stronger focus on final products and specific groups of customers along with increased efficiency in managing manufacturing, human resources, procurement and finance. This is a reorganisation project that has already been duly consulted with the trade unions and employees of the Škoda Group companies. Business partners have also been informed accordingly.

The first change concerns the Ostrava region, where a merger by absorption was completed between Škoda Transportation a.s. and its subsidiary Škoda Vagonka a.s.. As a result, Škoda Vagonka a.s. ceased to exist as a separate legal entity, with Škoda Transportation a.s. becoming its legal successor. The merger became effective on 1 November 2026.

Both companies are engaged in the production of rolling stock, work on similar projects and serve similar customers. This is a change that will simplify the management of the business.

Martin Bednarz, Member of the Board of Directors of Škoda Transportation a.s. and Head of the Ostrava Vagonka site

Škoda Vagonka has a rich and distinguished history that the company will continue to honour. With roots in nearby Kopřivnice and later Studénka, it was part of the renowned Ringhoffer company, subsequently the state-owned enterprise Tatra, and later the ČKD Group. Since 2005, it has been a member of Škoda Group.

“Many people may continue to say they work at Vagonka, as the name has become familiar in the region. However, Škoda Group is evolving into a leading global player across the public transport sector, and our customers throughout Europe, Asia and the Americas look for the Škoda heritage, which for them represents a guarantee of quality, reliability and innovation,” says Tomáš Ignačák, Vice Chairman of the Board of Directors of Škoda Transportation a.s.

Škoda Transportation a.s. (now including the former Škoda Vagonka a.s.), as a manufacturer of rolling stock, together with Škoda Pars k.s., specialising in the modernization, servicing and repair of railway vehicles, and Škoda Ekova a.s., specialising in the modernization, servicing and repair of urban rail vehicles, will form part of the newly established Rolling Stock Division.

The second change concerns Škoda Electric a.s. in Plzeň, traditionally a manufacturer of trolleybuses and battery-electric buses, while also developing and producing traction motors, converters, innovative battery solutions and other components recognised for their quality, high reliability and energy efficiency.

Effective 1 January 2027, Škoda Electric a.s. will be demerged (through a spin-off merger) into two separate companies: Škoda Group Bus a.s., focused on the production of trolleybuses and battery-electric buses, and Škoda Group Components and Systems a.s., focused on the production and supply of electrical components for both rail and road vehicles. These two companies will no longer be subsidiaries of Škoda Transportation a.s.; instead, they will become its sister companies (operating at the same level within the Škoda Group corporate structure).

We develop a wide range of innovative traction and battery systems with high added value for different types of rail and road vehicles, supplying not only companies within the Škoda Group but also many highly respected customers worldwide. This change will allow us to focus even more effectively on product development, manufacturing, sales and service.

Jaromír Šilhánek, Member of the Board of Directors of Škoda Electric a.s. responsible for the Components and Systems business

“The creation of a standalone Bus Division is a logical step in the further development of our zero-emission road transport activities. Our ambition is to build on our leading position in the trolleybus segment, a field in which we have been active for 90 years, while significantly strengthening our presence in the battery-electric bus market, which offers substantial growth potential in the years ahead. The new organizational structure will enable us to devote maximum attention to this business area and further enhance our competitiveness both domestically and internationally,” adds Karel Majer, Chairman of the Board of Directors of Škoda Electric a.s. responsible for the Bus business.

Škoda Group Bus a.s. will become the principal operating entity of the newly established Bus Division, while Škoda Group Components and Systems a.s. will become the principal operating entity of the newly established Components and Systems Division.

The internal reorganization of Škoda Group will continue with further steps throughout 2027.
